Terms of Service - TauCAD Limited

Summary: These Terms constitute a binding legal agreement between you and TauCAD Limited. By using the Service, you agree to these Terms. If you do not agree, you may not use the Service.

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the TauCAD Limited software service, including any associated websites, networks, applications, and other services provided by TauCAD Limited (collectively, the "Service"). These Terms constitute a legally binding agreement between you and TauCAD Limited ("we," "us," or "our"). By accessing or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference.

If you are using our Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not access or use our Service.

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting a prominent notice on our Service or by sending you an email. Your continued use of our Service after any such changes constitutes your acceptance of the revised Terms.

2. Definitions

  • "User," "you," and "your" refer to the individual or entity accessing or using the Service.
  • "Subscription" refers to the purchased right to access and use the Service according to the selected plan.
  • "Content" refers to any text, images, videos, audio, or other material that appears on or through the Service.
  • "User Data" refers to any data, information, or material that you upload, input, or otherwise provide to the Service.
  • "Intellectual Property Rights" means all patent rights, copyright rights, moral rights, rights of publicity, trademark rights, trade dress and service mark rights, goodwill, trade secret rights, and other intellectual property rights.

3. Service & Subscriptions

Summary: Subscriptions renew automatically. You authorize us to charge your payment method at the start of each billing period. You may cancel at any time; access continues until the end of your current billing period.

3.1 Service Description

TauCAD is an AI-assisted computer-aided design (CAD) software service. The Service enables users to create, edit, convert, and export 3D designs through various tools and features, which may include AI-powered assistance, code-based modeling, file format conversion, and integrations with third-party platforms. We may also offer developer tools, APIs, and software packages for programmatic access to certain Service functionality.

To use our Service, you must be at least 18 years old or the age of legal majority in your jurisdiction, whichever is greater.

3.2 Subscription Plans

Many features of our Service are available for free without a Subscription. For access to additional features, increased usage limits, and premium capabilities, we offer paid Subscriptions:

  • Monthly Subscriptions: Billed on a recurring monthly basis
  • Annual Subscriptions: Billed annually with a discount compared to monthly rates
  • Usage Credits: Pay-per-use credits for AI features and API calls, purchased separately or included in subscription tiers

Your Subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your payment method for the Subscription fee at the beginning of each billing period. Prices are subject to change with at least 30 days' notice.

3.3 Cancellation & Refunds

You may cancel your Subscription at any time through your account settings or by contacting us at support@tau.new. Upon cancellation, access continues until the end of your current billing period. No refunds are provided for unused portions of the billing period, except as required by applicable law (see Section 15 for consumer rights) or at our sole discretion for billing errors.

3.4 Taxes & Payment

All fees are exclusive of applicable taxes, unless otherwise stated. You are responsible for all applicable taxes (including VAT, GST, and sales taxes) based on your location. If your payment method fails, we may suspend your access to paid features until payment is collected. Usage credits expire 1 year from the date of purchase, unless otherwise specified.

3.5 Free Trials

We may offer free trials or promotional offers at our discretion. If you participate in a free trial and do not cancel before the end of the trial period, we will automatically charge your payment method for the first billing period of your Subscription.

4. Your Account

If you create an account, you are responsible for:

  • Providing accurate, current, and complete information
  • Maintaining the confidentiality of your password and account
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account

Accounts are for individual use only. You may not share your account credentials with others or allow multiple users to access the Service through a single account, unless you have a team or organizational Subscription that permits multiple users.

You agree to use the Service only for lawful purposes and in accordance with these Terms and our Acceptable Use Policy, which is incorporated by reference. Violations may result in suspension or termination of your account.

By using the Service, you consent to receive communications from us electronically, including marketing communications about our Service. You can opt out of marketing communications at any time. For more information, see our Privacy Policy.

5. Your Data & Privacy

You retain all ownership rights to your User Data, including CAD designs, code, and prompts you submit to the Service.

5.1 License Grant

By uploading or creating content through the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, store, and process your User Data solely as necessary to provide the Service to you, improve our AI features (subject to your opt-out rights), prevent or address technical or security issues, respond to customer support requests, and comply with legal obligations.

5.2 AI Output Ownership

You own the CAD designs, models, and other outputs generated using our AI features. We do not claim ownership of AI-generated outputs. However, similar or identical outputs may be generated for other users who provide similar inputs. We make no representations regarding the uniqueness, patentability, or non-infringement of AI-generated outputs.

5.3 Data Storage

Your User Data is stored in two locations:

  • Browser Storage: Your CAD designs, code, and preferences are stored in your browser's storage and remain accessible indefinitely, even without an account.
  • Cloud Storage: If you create an account, your User Data synced to our cloud servers will be retained for 90 days after your last access or account termination. You can export your User Data at any time using our built-in export features.

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy and Cookie Policy, which are incorporated by reference.

6. Intellectual Property & Open Source

6.1 Our Intellectual Property

All content provided by TauCAD Limited, including the Service, website, text, graphics, logos, and software, is the property of TauCAD Limited or its content suppliers and is protected by international intellectual property laws. Our trademarks and trade dress may not be used without our prior written consent.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes or personal use. This license does not include the right to modify, copy, resell, sublicense, reverse engineer, or distribute the Service, except as permitted by applicable open-source licenses.

6.2 Open Source

TauCAD is built on open-source software. The source code is publicly available at https://github.com/taucad/tau.

TauCAD is dual-licensed:

  • MIT License: Applies to all components except the OpenSCAD kernel.
  • GPL-2.0-or-later: Applies when using the OpenSCAD kernel due to the openscad-wasm-prebuilt dependency.

Nothing in these Terms restricts your rights under the applicable open-source licenses. The following elements remain proprietary: the hosted SaaS infrastructure, API rate limits and subscription tiers, your User Data, the TauCAD name and trademarks, and any content we create that is not part of the open-source codebase.

6.3 Your Designs

CAD designs, models, and other creative works you create using TauCAD are your intellectual property. Your use of TauCAD does not create any obligation for you to license your designs under any open-source license.

6.4 Feedback & Contributions

You grant us a perpetual, irrevocable, royalty-free license to use any feedback, comments, or suggestions you provide. If you contribute to the TauCAD open-source project, your contributions will be licensed under the same license as the project.

7. Disclaimers & Liability

Summary: The Service is provided "as is" without warranties. Our liability is limited to the amount you paid us in the 12 months prior to any claim, or NZD $100, whichever is greater.

7.1 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

THE SERVICE IS NOT INTENDED TO PROVIDE PROFESSIONAL ENGINEERING, MANUFACTURING, OR SAFETY-CRITICAL ADVICE. CAD DESIGNS CREATED USING THE SERVICE SHOULD BE REVIEWED BY QUALIFIED PROFESSIONALS BEFORE USE IN PRODUCTION, MANUFACTURING, OR ANY APPLICATION WHERE FAILURE COULD RESULT IN HARM.

7.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TAUCAD LIMITED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED NEW ZEALAND DOLLARS (NZD $100).

Some jurisdictions do not allow limitations on implied warranties or liability for incidental or consequential damages, so the above limitations may not apply to you.

7.3 Indemnification

You agree to indemnify, defend, and hold harmless TauCAD Limited, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses, or fees arising from your violation of these Terms, your User Data, or your use of the Service.

7.4 Third-Party Services

The Service may allow you to access third-party websites, apps, content, and services. We do not endorse and are not responsible for any third-party service or for any transaction you may enter into with the provider of such services.

8.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of New Zealand, without regard to its conflict of law provisions.

8.2 Dispute Resolution

Before initiating legal proceedings, you agree to contact us at legal@tau.new to attempt to resolve the dispute informally. We will respond within 30 days.

Any disputes will be resolved in the courts of Auckland, New Zealand, except where local consumer protection laws require disputes to be heard in your place of residence (see Section 15 for consumer rights).

8.3 Class Action Waiver

To the maximum extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against TauCAD Limited.

Jurisdictional limitations: This waiver does not apply, and you retain your full statutory rights, where prohibited by law. In particular:

  • EU/EEA consumers: This waiver does not affect your right to participate in collective redress mechanisms under EU law.
  • UK consumers: This waiver does not limit your rights under the Consumer Rights Act 2015 or collective proceedings before the Competition Appeal Tribunal.
  • Australian consumers: This waiver does not exclude or limit any rights under Australian Consumer Law.
  • New Zealand consumers: This waiver does not affect your rights under the Consumer Guarantees Act 1993.
  • Canadian consumers: This waiver may not apply in provinces where class action waivers are prohibited for consumer contracts.

If the class action waiver is found unenforceable in your jurisdiction, only that portion shall be severed; the remainder of these Terms remains in full force and effect. For additional information about your consumer rights, see Section 15.

8.4 Termination

We reserve the right to suspend or terminate your access to our Service at our sole discretion, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Upon termination:

  • Your license to use the Service will immediately cease
  • You will have 90 days to access and export your User Data from our cloud servers
  • After the 90-day retrieval period, we may permanently delete your User Data
  • User Data stored in your browser's storage remains accessible to you

If you wish to terminate your account, you may do so through your account settings or by contacting us at support@tau.new.

8.5 General Provisions

These Terms, including our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and TauCAD Limited regarding your use of our Service. The failure of TauCAD Limited to enforce any right or provision will not be deemed a waiver. If any provision is found invalid or unenforceable, the remaining provisions will remain in full force. These Terms may not be transferred or assigned by you without our prior written consent, but may be assigned by us without restriction. All provisions which by their nature should survive termination shall survive.

9. Additional Terms

9.1 Export Controls

You agree to comply with all applicable export and re-export control laws and regulations. You represent and warrant that you are not located in, under the control of, or a national or resident of any country or territory to which applicable export laws prohibit exports.

9.2 Force Majeure

TauCAD Limited shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, or disease.

9.3 U.S. Government Users

If you are a U.S. government user, the Service is provided as "Commercial Computer Software" and "Commercial Computer Software Documentation" as defined in FAR 12.212 and DFARS 227.7202.

11. API Usage

API access is subject to rate limits and usage quotas based on your Subscription. You must keep API credentials secure and confidential; you may not share them with any third party without our prior written consent. You are responsible for all activities that occur under your API credentials.

We may modify, update, or discontinue any aspect of our API at any time. For material changes, we will make reasonable efforts to provide advance notice.

12. Content Moderation

When submitting User Content to our Services, you must comply with the content standards set forth in our Acceptable Use Policy.

We may employ various moderation methods, including pre-moderation, post-moderation, user flagging systems, automated filtering, and human review. Our moderation team has sole discretion to determine whether User Content violates these Terms and may remove content, issue warnings, suspend or terminate accounts, or report illegal content to authorities.

If you believe your content was removed in error, you may appeal by contacting us at support@tau.new. We will review appeals and respond within 10 business days. Decisions following an appeal are final.

We reserve the right to disclose your identity to third parties who claim that material posted by you violates their rights, and to cooperate with law enforcement as required by law.

13. Accessibility & Beta Features

13.1 Accessibility

We are committed to making our Services accessible to all users, including those with disabilities. We strive to conform to WCAG 2.1 Level AA standards and applicable accessibility laws. If you experience any difficulty accessing any part of our Services, please contact us at accessibility@tau.new.

13.2 Beta Features

From time to time, we may offer beta, preview, experimental, or early access features ("Beta Features"). Beta Features are provided "as-is" without warranty of any kind, may contain bugs or cause data loss, may be modified or discontinued at any time without notice, and may not be covered by our standard support services. Your use of Beta Features is voluntary and at your sole risk.

14. Enterprise

For enterprise, business, or organizational accounts with custom requirements (SLAs, DPAs, data residency, volume licensing), contact sales@tau.new. Enterprise terms, where applicable, shall be set forth in a separately executed agreement.

15. Consumer Rights

Summary: If you are an individual using the Service for personal purposes, you may have additional statutory rights under consumer protection laws in your jurisdiction. These Terms do not limit or exclude those rights.

If you are an individual using the Service for personal, non-business purposes, additional statutory rights may apply based on your location. Nothing in these Terms affects your statutory consumer rights.

15.1 EU/UK Consumers

If you are a consumer residing in the European Union or United Kingdom:

  • 14-day withdrawal right: You have a statutory 14-day right of withdrawal from the date of purchase. By accessing the Service during this period with your explicit prior consent, you acknowledge that the Service performance begins immediately and that you may lose your right of withdrawal once the Service has been fully performed. If you exercise your right of withdrawal before the Service is fully performed, you may be charged a proportionate amount for the Service already provided.
  • Unfair terms protection: Nothing in these Terms affects your statutory consumer rights where the Service is defective or not as described.
  • Local courts: Disputes may be brought in the courts of your place of residence.

15.2 Australian Consumers

Our services come with guarantees under Australian Consumer Law that cannot be excluded. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage.

15.3 New Zealand Consumers

The Consumer Guarantees Act 1993 applies to consumer transactions. Your statutory rights under New Zealand law are not affected by these Terms.
